Member Agreement – Terms of Use

The Company provides access to the Platform, which includes resources such as news, information about our organization, member services, and tools for engaging with elected officials (collectively, the "Services"). Access to the Platform and its Services is subject to compliance with this Agreement.

The Company reserves the right, in its sole discretion, to terminate, modify, or suspend your access to the Platform or Services at any time, for any reason or no reason. This includes, but is not limited to, noncompliance with this Agreement or violations of applicable laws or the rights of others.

Membership is offered on a month-to-month basis. Members may cancel their membership at any time.

During the initial two-week trial period, cancellation is governed by the Right of Rescission provision below. After the trial period, members may cancel by providing American VoxPop, LLC with thirty (30) days' notice prior to the next billing date.

Your use of the Platform is governed by our Privacy Policy, which is incorporated into this Agreement by reference. By using the Platform, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.

By accessing or using the Platform, you represent and warrant that:

• You are at least eighteen (18) years old.
• You are a citizen of the United States of America.
• Your use of the Platform and Services complies with all applicable laws and regulations.
• All information you provide is accurate, complete, and current.
• You have the legal authority to enter into this Agreement.
• You accept all risks associated with using the Platform and Services.

All content on the Platform—including text, graphics, images, designs, video, software, audio, trademarks, and logos (collectively, "Content")—is owned by or licensed to the Company and is protected by applicable copyright, trademark, patent, and other intellectual property laws.

You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, perform, republish, download, store, transmit, sell, sublicense, or otherwise exploit any Content without prior written consent from the Company. All rights not expressly granted are reserved.

Certain areas of the Platform require a Member ID and password ("Protected Areas"). You agree to:

• Use only your assigned Member ID and password.
• Maintain the confidentiality of your login credentials.
• Notify the Company immediately of any suspected unauthorized use.

You are solely responsible for all activity conducted under your credentials. The Company may revoke access to Protected Areas at any time without notice.

During your use of the Platform, you may have access to confidential or proprietary information ("Proprietary Information"), including but not limited to:

• Business plans and records
• Marketing strategies
• Financial data
• Customer lists
• Technical information

You agree to maintain the confidentiality of all Proprietary Information and not disclose it without prior written consent. Unauthorized use or disclosure may result in liability for damages.

You agree to indemnify and hold harmless the Company and its affiliates from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your breach of this Agreement;
• Your violation of applicable laws;
• Your use of the Platform or Services;
• Any activity conducted under your account.

The Platform is provided "as is," "with all faults," and "as available." The Company makes no warranties regarding:

• Accuracy or reliability of Content;
• Uninterrupted service availability;
• Compatibility with specific systems or devices;
• Absence of viruses or harmful components.

Your use of the Platform is at your sole risk.

You agree not to:

• Use the Platform for unlawful purposes;
• Upload malicious software;
• Attempt unauthorized access;
• Violate intellectual property rights;
• Harvest data from other members without consent;
• Disrupt or interfere with Platform functionality.

The Company reserves the right to monitor activity and remove content deemed inappropriate.

By submitting content through the Platform ("Visitor Generated Content"), you grant the Company a perpetual license to use such content in connection with its Services. You represent that you own all rights to the content submitted.

The Company may remove Visitor Generated Content at its discretion.

Members must comply with all applicable copyright laws. Repeated violations may result in termination of access.

To the fullest extent permitted by law:

• The Company shall not be liable for direct or indirect damages arising from use of the Platform;
• The Company's total liability shall not exceed the amount paid by the Member during the six (6) months preceding the claim.

All disputes must be brought on an individual basis. You waive any right to participate in class, collective, or representative actions. If this waiver is found unenforceable, class claims must be litigated in civil court and not in arbitration.

You agree not to issue or threaten chargebacks provided the Company has fulfilled its obligations under this Agreement.

Before initiating a bank or payment dispute, you agree to contact the Company in writing at info@AmericanVoxPop.com and allow fourteen (14) days for resolution. You acknowledge that monthly payment constitutes ratification of satisfactory membership for that period. The maximum disputable amount is limited to the current month's dues.

The Company values your feedback. Please contact info@AmericanVoxPop.com or 404-737-1000 and allow twenty (20) business days for resolution before posting public complaints or reviews.

The Platform may contain links to third-party websites. The Company does not endorse or assume responsibility for third-party content.

The Company may modify this Agreement at any time without prior notice. Continued use of the Platform constitutes acceptance of updated terms.

This Agreement is governed by the laws of the State of Texas. All disputes shall be resolved exclusively in state or federal courts located in Travis County, Texas.

If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force and effect.

Members may cancel their membership during the initial two-week trial period by providing written notice via:

Upon timely cancellation, any amounts paid will be refunded, and both parties shall be released from further obligations. After the trial period, cancellation is governed by Section 2.

This Agreement constitutes the entire understanding between the Member and the Company regarding use of the Platform.
